Terms of Service
Effective February 1, 2026
These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “your,” or “User”) and Opelyx (“Opelyx,” “we,” “us,” or “our”), governing your access to and use of the Opelyx platform, including the Health Plans API, Markets & Trading API, MCP Server, developer dashboard at dashboard.opelyx.com, and all associated websites, documentation, and tools (collectively, the “Services”). Opelyx is incorporated in the State of Delaware, United States.
Please read these Terms carefully. These Terms contain important provisions including limitations of liability, a disclaimer of warranties, and a governing law clause. If you do not agree to these Terms in their entirety, you must not access or use the Services.
1. Acceptance of Terms
By creating an account, generating an API key, or otherwise accessing or using the Services, you affirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and the term “you” refers to both you individually and that organization.
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Services. By accepting these Terms, you represent that you meet this age requirement.
These Terms are effective as of the date you first access the Services or, if earlier, the date you click “I agree” or a similar acceptance mechanism.
2. Description of Services
Opelyx provides structured, machine-readable financial and health insurance data through REST APIs and a Model Context Protocol (MCP) server. The Services currently include:
- Health Plans API (
api.opelyx.com): Normalized plan and premium rate data sourced from CMS Public Use Files for Affordable Care Act marketplace plans across participating states. Supports plan search by ZIP code and demographics, plan detail retrieval, side-by-side plan comparison, out-of-pocket cost estimation, and ZIP-to-rating-area lookups. - Markets & Trading API: Financial data including SEC EDGAR filings, XBRL-structured financial statements, and real-time prediction market data from Polymarket, Kalshi, and Manifold Markets.
- MCP Server (
mcp.opelyx.com): A remote Model Context Protocol server that exposes financial data tools for use with AI assistants and large language model applications. - Developer Dashboard (
dashboard.opelyx.com): A web interface for managing your account, viewing API usage statistics, creating and revoking API keys, and managing your subscription.
The Services are data infrastructure tools, not professional advice. Nothing provided through the Services constitutes financial advice, investment advice, medical advice, legal advice, or any other form of professional advice. See Sections 13 and 14 for specific disclaimers.
3. Account Registration and API Keys
Account Creation
To access the Services beyond any publicly accessible endpoints, you must register for an account by providing a valid email address and creating a password. You agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate. You may not create an account using a disposable email address, a fictitious identity, or automated means without our prior written consent.
Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@opelyx.com if you become aware of any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your credentials.
API Keys
API keys are issued to authenticate programmatic access to the Services. Each key is formatted as
op_ followed by 40 hexadecimal characters. Upon generation:
- The plaintext key is displayed exactly once. You are responsible for recording it immediately.
- We store only a SHA-256 cryptographic hash of the key. We cannot retrieve or display the key again.
- If you lose a key, you must revoke it through the dashboard and generate a new one.
API keys are associated with your account and grant access at the tier level of your current subscription. You must not share your API key with unauthorized third parties, post it publicly, or embed it in client-side code accessible to end users. You are responsible for all API usage under your keys, including any usage by your applications. If you suspect a key has been compromised, revoke it immediately through the dashboard.
One Account Per User
Each individual or organization may maintain only one active account. Creating multiple accounts to circumvent rate limits or to obtain more free tier capacity than permitted is a material breach of these Terms and may result in termination of all associated accounts without notice.
4. Acceptable Use
You may use the Services only for lawful purposes and in accordance with these Terms. By using the Services, you agree that you will:
- Comply with all applicable local, state, national, and international laws and regulations
- Use the data provided through the Services only for your own internal business purposes or for building applications you operate
- Accurately represent the source of data to your end users (i.e., that it originates from CMS, SEC EDGAR, or the applicable public source)
- Implement appropriate safeguards if your application displays health plan data to ensure users understand the information is from a data API and requires professional verification
5. Prohibited Uses
The following uses of the Services are strictly prohibited. You must not:
Technical Misuse
- Circumvent rate limits: Use multiple API keys, rotating proxies, distributed request patterns, or any other technique to exceed the rate limits applicable to your subscription tier. Rate limits are a fundamental part of fair use across all subscribers.
- Automated account creation: Use scripts, bots, or automated means to create multiple accounts or generate API keys at scale.
- Reverse engineering: Attempt to decompile, disassemble, or derive the source code of any portion of the Opelyx platform or proprietary systems.
- Denial of service: Conduct, encourage, or participate in any attack intended to degrade or deny service availability to Opelyx or other users.
- Unauthorized access: Probe, scan, or test the vulnerability of Opelyx systems without our express written consent. If you discover a vulnerability, report it to support@opelyx.com.
Data Misuse
- Reselling raw data: Resell, sublicense, or redistribute raw data obtained through the Services as a standalone data product or data feed. You may build applications that use the data as an underlying source, but you may not operate a competing data API that substantially mirrors Opelyx’s data and presents it as your own product. If you are uncertain whether your use case qualifies, contact us at support@opelyx.com before proceeding.
- Bulk data harvesting: Use the API to systematically download the entirety of the Opelyx dataset for purposes other than building an application or service.
- Misrepresentation: Claim that data provided through the Services is more current, accurate, or authoritative than disclosed, or remove attribution to the original government source where such attribution is legally required.
Prohibited Professional Uses
- Medical or clinical advice: Use health plan data from the Health Plans API to provide medical advice, clinical recommendations, or plan selection guidance in a professional capacity without appropriate licensure and disclosure that the underlying data source is a third-party API, not the official insurer or government source.
- Securities recommendations: Present SEC filing data or prediction market data from the Services as the basis for personalized investment recommendations without appropriate securities licensure and required disclosures under applicable securities law.
- Illegal discrimination: Use data from the Services (including plan rate data) to discriminate against individuals based on protected characteristics in any way that violates applicable anti-discrimination law.
6. Rate Limits and Fair Use
API access is subject to rate limits based on your subscription tier. Rate limits are enforced on a rolling 24-hour window (midnight to midnight UTC):
- Free tier: 100 requests per day
- Pro tier: 10,000 requests per day
- Enterprise tier: Custom limits negotiated at the time of contract
When you exceed your daily limit, the API will return HTTP 429 Too Many Requests with a
Retry-After header indicating when the quota resets. Exceeding your rate limit does not
result in charges; excess requests are simply rejected until the next day’s quota begins.
Persistent patterns of hitting rate limits may be evidence of a need to upgrade your subscription tier. We may contact you with upgrade recommendations. If your usage pattern is unusual or appears designed to circumvent rate limits, we reserve the right to investigate and take action under Section 18 (Termination).
7. Subscription Plans and Payment
Free Tier
The Free tier is available at no charge. It provides access to a single API vertical at 100 requests per day. Free tier access is granted at our discretion and may require an invitation or approval from our team during active onboarding phases. We reserve the right to discontinue the Free tier with 90 days’ notice to existing Free tier users.
Pro Tier
The Pro tier is billed at $29.00 USD per month per API vertical. Bundle pricing is available: two verticals for $49.00 USD per month, or all verticals for $69.00 USD per month. Billing is monthly and in advance, on the same calendar day each month as your initial subscription date. Pro tier access begins immediately upon successful payment.
Enterprise Tier
Enterprise subscriptions are custom-priced based on usage volume, verticals, SLA requirements, and support needs. Enterprise terms are governed by a separate written agreement. Contact sales@opelyx.com to discuss Enterprise terms.
Billing and Payment Processing
All payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees on a recurring basis. You agree to Stripe’s terms of service in addition to these Terms. We do not store your full payment card details; Stripe stores a tokenized representation on our behalf.
All fees are stated in U.S. dollars and are exclusive of applicable taxes. You are responsible for any applicable sales tax, VAT, GST, or other tax on the Services. If a payment fails, we will retry the charge and notify you by email. If payment remains outstanding after 7 days, we may suspend your access to paid-tier features until payment is received.
Refund Policy
Subscription fees are generally non-refundable. If you cancel your Pro subscription mid-cycle, you retain access through the end of the paid billing period. No partial-month refunds are issued. In exceptional circumstances (such as a billing error or extended service outage attributable to us), we may issue credits at our discretion. Contact support@opelyx.com for billing disputes.
Cancellation
You may cancel your subscription at any time through the developer dashboard. Cancellation takes effect at the end of the current billing cycle. Your account will revert to Free tier access (subject to Free tier availability) or be deactivated, as you choose.
8. Data Accuracy and “As Is” Disclaimer
Opelyx normalizes and structures data from government and public sources to make it more accessible. We make reasonable efforts to ensure the accuracy and completeness of the data we serve, but we make no guarantee that the data is error-free, current, or complete. Specifically:
- CMS PUF data is updated on the CMS publication schedule. There may be a lag between plan or rate changes becoming effective and our database reflecting those changes.
- SEC EDGAR data is indexed as published. Restatements, amendments, and corrections filed after our last ingestion may not be reflected immediately.
- Prediction market data is sourced from third-party APIs (Polymarket, Kalshi, Manifold) and may be delayed by up to 60 seconds relative to the source platform.
- We normalize and deduplicate data in our ingestion pipeline. Normalization decisions are made in good faith but may not account for all edge cases in a particular dataset.
You are solely responsible for verifying the accuracy of any data obtained through the Services before relying on it for any business, legal, financial, or medical decision. We strongly recommend cross-referencing critical data against the original government or regulatory source.
9. Health Data Disclaimer
The Health Plans API provides data derived from CMS Public Use Files describing ACA marketplace health insurance plan attributes, premiums, and cost-sharing structures. You acknowledge and agree that:
- Not medical advice: The data provided does not constitute medical advice, health guidance, clinical recommendations, or a recommendation of any particular health insurance plan. Plan selection decisions should be made in consultation with a licensed health insurance broker or advisor.
- Not an official source: Opelyx is not affiliated with, endorsed by, or an official data source for the Centers for Medicare & Medicaid Services, the Department of Health and Human Services, any State-Based Marketplace, or any health insurance issuer. For official plan information, refer to healthcare.gov or your state’s official marketplace.
- Plans may change: Health insurance plan attributes, premiums, and availability are subject to change by insurers and regulators. Displayed data may not reflect mid-year changes, issuer withdrawals, or plans added after our last data ingestion.
- Rate calculation limitations: Premium estimates provided by the API are based on published actuarial rates and may not reflect all applicable subsidies, adjustments, or eligibility criteria for a specific individual. Actual premiums are determined by the insurer at enrollment.
- Geographic coverage: The Health Plans API covers ACA marketplace plans for states served by the Federal Marketplace (HealthCare.gov) and participating State-Based Marketplaces. Coverage of State-Based Marketplace states may be incomplete for certain plan years.
10. Financial Data Disclaimer
The Markets & Trading API and MCP Server tools provide data sourced from SEC EDGAR, government spending databases, and prediction market platforms. You acknowledge and agree that:
- Not investment advice: Nothing provided through the Services constitutes investment advice, a recommendation to buy or sell any security, or a solicitation of any investment. Opelyx is not a registered investment adviser. Any investment decision you make based on data from the Services is made solely at your own risk.
- SEC data may be delayed or incomplete: SEC EDGAR data is publicly available but may not reflect the most recent filings, amendments, or restatements. We are not a real-time financial data provider. SEC data should not be relied upon for time-sensitive trading decisions.
- Prediction markets are speculative: Data from Polymarket, Kalshi, Manifold Markets, and similar platforms represents market-derived probabilities and prices on speculative contracts. These are not forecasts by Opelyx, and participation in prediction markets involves substantial financial risk.
- Past data does not predict future performance: Historical financial data provided through the Services should not be interpreted as a predictor of future financial performance for any security or company.
11. Intellectual Property
Opelyx Intellectual Property
The Opelyx platform, including the API design, endpoint structure, schema definitions, normalization logic, documentation, website content, brand identity, and all software comprising the Services, is owned by Opelyx and protected by copyright, trademark, and other intellectual property laws. You receive no ownership rights in the platform by virtue of using the Services.
Subject to your compliance with these Terms and payment of applicable fees, Opelyx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and to build applications and products that integrate with the Services.
Underlying Government Data
Data obtained from U.S. government sources (including CMS PUFs and SEC EDGAR) is in the public domain under 17 U.S.C. § 105 and is not subject to copyright protection. Your rights to use such underlying data are governed by the terms of the originating agency. Opelyx’s copyright in the Services applies to our normalization, structuring, and delivery of that data, not to the underlying government data itself.
Your Applications
You retain all intellectual property rights in applications, products, and services that you build using the Opelyx APIs, provided that such applications comply with these Terms and do not incorporate the Opelyx platform source code or proprietary systems.
Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant Opelyx a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into the Services without obligation to you.
12. Service Availability and Service Level
Uptime Target
Opelyx targets 99.9% monthly uptime for the API endpoints. This target applies to Pro and Enterprise tier subscribers. The Free tier carries no uptime guarantee.
Uptime is measured as the percentage of minutes in a calendar month during which the API returns a valid
HTTP response (excluding 4xx errors caused by client request errors) to a test request issued
from Cloudflare’s health-check infrastructure.
Planned Maintenance
Planned maintenance windows that may cause interruption will be communicated at least 48 hours in advance via email to the address on your account. Emergency maintenance required to address security incidents or critical infrastructure failures may occur without advance notice.
No Guarantee of Availability
Notwithstanding the above uptime target, the Services are provided “as available” and we do not guarantee uninterrupted or error-free access. Scheduled and unscheduled downtime, third-party service disruptions (including disruptions at Cloudflare, CMS, SEC, or prediction market API providers), and force majeure events may affect service availability. The uptime target does not constitute an SLA entitling you to credits or compensation unless a separate Enterprise SLA agreement expressly provides for such remedies.
Beta Features
Features or API endpoints labeled as “beta” or “preview” are provided without any uptime guarantee and may be modified, deprecated, or removed at any time without notice.
13. Disclaimer of Warranties
THE SERVICES, AND ALL DATA, CONTENT, AND INFORMATION PROVIDED THROUGH THEM, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPELYX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY DATA PROVIDED THROUGH THE SERVICES
- WARRANTIES THAT ANY DEFECTS IN THE SERVICES WILL BE CORRECTED
- ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OPELYX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
- FINANCIAL LOSSES ARISING FROM INVESTMENT OR BUSINESS DECISIONS MADE IN RELIANCE ON DATA PROVIDED BY THE SERVICES
- COSTS OF PROCURING SUBSTITUTE SERVICES
- DAMAGES ARISING FROM SERVICE INTERRUPTIONS OR DATA INACCURACIES
REGARDLESS OF WHETHER OPELYX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE).
IN NO EVENT WILL OPELYX’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO OPELYX IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Indemnification
You agree to defend, indemnify, and hold harmless Opelyx and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of the Services in violation of these Terms
- Any application, product, or service you build using the Services, including any claims by your end users
- Your violation of any applicable law or regulation
- Your infringement or misappropriation of any third-party intellectual property rights
- Any misrepresentation you make to third parties regarding the nature, accuracy, or source of data obtained through the Services
Opelyx reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Opelyx in asserting any available defenses.
16. Termination
Termination by You
You may terminate your account at any time by canceling your subscription through the developer dashboard and requesting account deletion by emailing support@opelyx.com. Upon termination, your API keys will be revoked and you will lose access to the Services at the end of your current billing cycle (for paid subscribers) or immediately (for Free tier accounts).
Termination or Suspension by Opelyx
We may suspend or terminate your account, with or without notice, for any of the following reasons:
- Material breach of these Terms, including violations of the Acceptable Use or Prohibited Uses provisions
- Fraudulent activity, including creating multiple accounts to circumvent rate limits
- Conduct that could expose Opelyx or other users to legal liability
- Non-payment of fees after applicable cure periods
- Requests from law enforcement or government authorities
- Cessation of the Services (with 90 days’ notice where reasonably practicable)
For violations that are curable, we will endeavor to provide written notice and a reasonable opportunity (typically 7 days) to cure the violation before suspension or termination, except where the violation poses an immediate security risk or legal threat.
Effect of Termination
Upon termination: (a) all licenses granted to you under these Terms immediately terminate; (b) your API keys are revoked; (c) you must cease all use of the Services. Sections of these Terms that by their nature should survive termination (including Sections 8, 9, 10, 11, 13, 14, 15, 17, 18, and 19) will survive.
If your account is terminated for cause (i.e., breach of these Terms), no refund of prepaid fees will be issued. If we terminate your account without cause, we will refund a pro-rated portion of any prepaid monthly fees for the unused remainder of your billing cycle.
17. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to these Terms or the Services will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
Subject to the dispute resolution provisions in Section 18, you and Opelyx agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any legal proceeding arising out of or related to these Terms or the Services.
18. Dispute Resolution
Informal Resolution
Before initiating any formal proceeding, you agree to attempt to resolve any dispute informally by contacting us at support@opelyx.com with a written description of the dispute and your desired resolution. We will attempt to respond within 15 business days. Both parties agree to negotiate in good faith for at least 30 days before pursuing formal proceedings.
Arbitration
If a dispute cannot be resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (excluding claims for injunctive or equitable relief, which may be brought in any court of competent jurisdiction) will be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules (as applicable), with the arbitration seated in Delaware, conducted in English. The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION AGAINST OPELYX IN ANY COURT OR IN ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY.
Exceptions
The arbitration requirement does not apply to: (a) small claims court matters within the court’s jurisdictional limits; (b) intellectual property claims (which may be brought in court); or (c) disputes where arbitration is prohibited by applicable law.
19. Changes to These Terms
We may modify these Terms from time to time to reflect changes in the Services, applicable law, or our business practices. When we make material changes, we will:
- Send an email notification to the address associated with your account at least 30 days before the changes take effect
- Update the effective date at the top of this page
- Post a notice on the developer dashboard
Changes that are required by law or that do not materially increase your obligations or reduce your rights may take effect immediately upon notice.
If you do not agree to the modified Terms, you must stop using the Services and may terminate your account before the effective date of the changes. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
20. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any Enterprise agreement you have entered into with us, constitute the entire agreement between you and Opelyx with respect to the Services and supersede all prior or contemporaneous agreements, communications, and representations, whether oral or written.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and all other provisions will remain in full force and effect.
Waiver
No failure or delay by Opelyx in exercising any right or remedy under these Terms will constitute a waiver of that right or remedy. No waiver of any breach will be deemed a waiver of any subsequent breach.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms or any rights or obligations hereunder without restriction, including in connection with a merger, acquisition, or sale of substantially all of our assets. These Terms will bind and inure to the benefit of the parties’ permitted successors and assigns.
Force Majeure
Neither party will be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, war, civil unrest, third-party infrastructure failures, or internet backbone disruptions, provided that the affected party provides prompt notice and uses reasonable efforts to resume performance.
No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Only you and Opelyx have rights under these Terms.
Notices
Legal notices to Opelyx must be sent to support@opelyx.com with the subject line “Legal Notice.” Notices to you will be sent to the email address on your account and are deemed delivered when sent.
